1 Scope of application

  1. The following General Terms and Conditions (GTC) apply to all business relationships between Mag. Renate Reingrabner, owner of the online store www.CuraPalma.eu, hereinafter referred to as “CuraPalma”, and the customer for transactions made in the web-shop (or via e-mail in exceptional cases e.g. because of VAT or transport costs clarification).
  2. We may update these GTC from time to time to reflect, for example, changes to our practices or for other operational, legal or regulatory reasons. The English language version valid at the time of the conclusion of the contract is decisive.
    Currently our website is available in english language supporting other languages of our market for the landing page. We may translate more pages step by step in the future.
  3. We contract exclusively on the basis of our General Terms and Conditions. It can be accessed at any time at CuraPalma.eu.
  4. Any terms and conditions of the customer or amendments or supplements to our General Terms and Conditions shall require our express consent – in writing in the case of business customers – in order to be valid. The customer’s terms and conditions shall not be recognized even if we do not expressly object to them upon receipt.

2 Validity

  1. Austrian law to the exclusion of its referral standards shall apply. The UN Convention on Contracts for the International Sale of Goods is excluded. The place of performance is the registered office of the company in Podersdorf am See. The place of jurisdiction for both parties is Eisenstadt, except the cases where consumer rights are different.
  2. The contract, order and business language is English. Only the English language version of the web site is valid. Consultation and correspondence is also possible in German.
  3. This website is protected by copyright. The resulting rights, in particular those of translation, reprinting, presentation, extraction of illustrations, reproduction by photocopy or similar means and storage in data processing systems, remain reserved, even in the case of only partial utilization, and require our express consent.
  4. Communication via the Internet cannot be guaranteed to be error-free or available at all times. We are therefore not liable for the constant and uninterrupted availability of our online store.
  5. You are free to register at CuraPalma.eu with a personal customer account or to place guest orders without a customer account. You are responsible for ensuring that all the data you provide is complete and correct at all times. With that you agree that we process your data in order to fulfill your order(s) based on our privacy policy.
  6. We reserve the right to close customer accounts. This applies in particular in the event that you violate applicable law, contractual agreements or our guidelines.

3 Conclusion of contract

  1. CuraPalma concludes contracts with customers who are natural persons with unlimited legal capacity who have reached the age of 18, and with
 legal entities, in each case with their domicile or registered office in a member state of the European Union (hereinafter referred to as “customers”). If CuraPalma has inadvertently accepted the offer of an unaccepted participant, CuraPalma is entitled to declare its withdrawal from the contract to the customer within a reasonable period of time.
  2. Our offers are non-binding. In particular, the presentation of goods in the web-shop does not constitute a binding offer by CuraPalma. They are merely an invitation to submit an offer. When the “BUY NOW” button is clicked in the final step of the order process in the online store, or latest when the goods arrive at the customer, the binding purchase offer is made and this GTC are accepted.
  3. Illustrations, drawings and specifications, in particular colors, design details, weights and dimensions, are only approximate values. The customer accepts minor and objectively justified changes.
  4. Promises, assurances and guarantees on our part or agreements deviating from these GTC in connection with the conclusion of the contract shall only become binding for business customers upon our written confirmation.
  5. CuraPalma shall confirm receipt of the customer’s order without delay. This confirmation merely serves the customer as proof of successful receipt of the order, and does not constitute acceptance of the order. The confirmation of receipt shall only constitute a declaration of acceptance if CuraPalma expressly declares this in writing.
  6. CuraPalma is entitled to accept the contractual offer contained in the order within five working days of receipt by CuraPalma.
  7. CuraPalma is entitled to withdraw from the contract and demand the return of the goods if the customer acts in breach of contract, in particular in the event of default in payment.
  8. If a specific item is no longer available, CuraPalma will inform you and refund any consideration received.
  9. A resale is only permissible if we have been notified of this in good time in advance, stating the name and address of the purchaser, and we consent to the sale. In the event of our consent, the purchase price claim of the business customer shall already now be deemed assigned to us.
  10. The customer must inform us immediately before the opening of bankruptcy proceedings against his assets or the seizure of our reserved goods.

4 Withdrawal for business customers

  1. A withdrawal is without prejudice to CuraPalma’s claim to compensation for non-performance. In addition, the customer shall owe CuraPalma a reasonable fee for the use of the goods. In the event of withdrawal from the contract, CuraPalma shall have the option of claiming liquidated damages in the amount of 15% of the invoice amount or the actual loss incurred.
  2. If the contract is rescinded (by mutual agreement or otherwise justified), the customer must return goods already delivered to CuraPalma immediately, but at the latest within 7 days, at his own risk and expense. For returns, please contact our customer service in advance.
  3. Returns of goods within the scope of business customers are always at the buyer’s expense. The seller shall only bear the return costs if this has been expressly agreed in writing in advance. This also applies to returns due to guarantee or warranty cases.

5 Transfer of risk

  1. Austrian § 7b KSchG or – if better – local law applies to the transfer of risk when the goods are sent to the consumer.
  2. The risk shall pass to the business customer as soon as we hold the object of purchase, the material or the work ready for collection from the factory or warehouse, deliver it ourselves or hand it over to a carrier.
  3. The business customer shall insure itself against this risk accordingly. We undertake to take out transport insurance at the customer’s written request and at the customer’s expense. The customer shall approve any customary mode of shipment.

6 Prices and terms of payment

  1. The price includes the statutory VAT for each EU country and shipping and packaging costs for consumers. Please clarify orders from regions with different VAT rates in advance by e-mail (e.g. specific islands in Portugal or Greece).
  2. CuraPalma have taken out insurance against transport damage or loss of the shipment up to 500 €.
  3. We expressly reserve the right to make price changes in accordance with cost changes that have occurred, e.g. due to increases by our suppliers, wage adjustments or material changes, in the case of delivery contracts with a delivery period of more than three months. If the price increase amounts to more than 5% of the agreed price, you have the right to withdraw from the contract.
  4. Invoices are to be paid within 8 days without any deductions. Cash discounts are not permitted unless expressly agreed.
  5. Prices are quoted ex warehouse and subject to the applicable statutory VAT. Packaging, transportation, loading and shipping costs as well as customs duties and insurance shall be borne by the business customer.
  6. CuraPalma is only obliged to take back packaging if this has been expressly agreed.
  7. Offsetting by the customer is only possible – except in the cases provided for by law – if the counterclaim is legally related to the customer’s liability, has been expressly recognized by CuraPalma in advance or has been established by a court of law.
  8. The customer can pay the price by bank transfer, credit card or PayPal. CuraPalma reserves the right to exclude individual payment methods.
  9. In accordance with § 456 of the Austrian Commercial Code (UGB), we are entitled to charge entrepreneurs who are in default of payment 9.2% points above the base interest rate. We charge consumers an interest rate of at least 4% above the respective prime rate of the European Central Bank; this shall not affect any further claims for damages.
  10. If the payment deadline is exceeded, any remuneration granted (rebates, discounts, etc.) shall be forfeited and added to the invoice.
  11. We deliver to business customers known to us against open invoice, otherwise cash on delivery. Unless otherwise agreed, our invoices are payable net within 10 days. We reserve the right to check the creditworthiness of the buyer.
  12. If a purchase on account is not possible due to a lack of creditworthiness, we reserve the right to offer an alternative billing option (prepayment). If no customer account is available, we reserve the right to check the creditworthiness from an order value of 500 €.
  13. For reminders necessary and appropriate for collection, the customer undertakes to pay reminder fees of € 20 per reminder in the event of culpable default in payment, insofar as this is in reasonable proportion to the claim being pursued.

7 Shipping and Delivery

  1. The goods delivered, assembled or otherwise handed over by us shall remain our property until full payment has been made.
  2. Delivery takes place from our warehouse or factory warehouse and are only possible within the European Union.
  3. Costumers of areas with specific delivery conditions (like e.g. islands) can be excluded or have to accept additional transportation costs and delivery times. CuraPalma reserves the right not to deliver to certain EU countries or regions if payment, taxes, transportation costs or transportation conditions cannot be clarified and/or guaranteed.
  4. You will usually receive the goods after just a few days. If products are not available, we’ll keep you informed. Partial deliveries are considered completed transactions if the respective goods can be used independently of each other.
  5. As long as the ownership has not yet been transferred to him, the buyer is obliged to treat the purchased item with care and to inform us immediately in writing if the delivered item is seized or exposed to other interventions by third parties. If the third party is not in a position to reimburse us for the judicial and extrajudicial costs of an action pursuant, the buyer shall be liable for the loss incurred by us.
  6. Unless otherwise agreed, the goods shall be shipped to the delivery address specified by the customer. The delivery address specified in the seller’s order processing is decisive for the processing of the transaction.
  7. Due to the long term of our offer, we reserve the right to make technical changes and improvements that are reasonable for you and do not affect the usability or value of the goods, expressly. This may also involve color or material used. All technical information in our catalogs or web-shop is based on manufacturer information at the time the respective catalog or web-shop was produced and does not represent any guarantees.
  8. If the transport company returns the shipped goods to the seller because delivery to the customer was not possible, the customer shall bear the costs for the unsuccessful shipment. This does not apply if the customer is not responsible for the circumstance that led to the impossibility of delivery or if he was temporarily prevented from accepting the service offered, unless the seller had notified him of the service a reasonable time in advance. Furthermore, this does not apply with regard to the costs for the return shipment if the customer effectively exercises his right of withdrawal. If the customer effectively exercises his right of withdrawal, the provision in the seller’s withdrawal policy shall apply to the return costs.
  9. Deadlines and dates shall be postponed in the event of force majeure, strikes, unforeseeable delays by our suppliers for which we are not responsible or other comparable events beyond our control for the period during which the relevant event continues. If delivery becomes impossible or unreasonable as a result, CuraPalma shall be released from its obligation to deliver by way of a mutually agreed termination of the contract. The customer may not derive any claims against CuraPalma from this, on whatever legal grounds, and shall be notified immediately in this case. This shall not affect the customer’s right to withdraw from the contract in the event of delays that make it unreasonable to expect the customer to adhere to the contract.

8 Warranty and Liability for defects

  1. The provisions of the statutory warranty shall apply. The warranty period for our services to business customers is one year from delivery.
  2. Within these periods, we shall remedy all defects subject to the statutory warranty free of charge.
  3. Claims for defects are initially limited to subsequent performance (repair or replacement) of goods free of defects. If the subsequent performance fails, you are entitled, at your discretion, to withdraw from the purchase contract or to demand a reduction in the purchase price.
  4. Our own guarantee declarations or those of our suppliers shall in no way limit your statutory claims for defects.
  5. Damage caused by natural wear and tear, improper use and lack of or incorrect care is excluded from the warranty or guarantee.
  6. If the customer’s claims of defects are unjustified, the customer shall be obliged to reimburse us for any expenses incurred in establishing the absence of defects or rectifying defects.
  7. The business customer must always prove that the defect already existed at the time of delivery.
  8. Irrespective of all statutory provisions, we will always endeavor to settle any damage in an accommodating manner.

9 Severability Clause

  1. Should individual parts of these GTC be invalid, this shall not affect the validity of the remaining parts.
  2. CuraPalma, as well as the business customer, hereby jointly undertake – based on the horizon of honest contracting parties – to agree on a replacement provision that comes closest to the economic result of the invalid provision.
